1. Acceptance of Terms
By accessing or using the Ferro Labs AI Gateway platform and related services (the "Service") provided by Ferro Labs, Inc. ("Ferro Labs", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
If you do not agree to these Terms, do not use the Service.
2. Description of Service
AI Gateway is a unified AI infrastructure platform that provides request routing, load balancing, caching, observability, and access management for large language model APIs. The Service includes the hosted cloud platform (FerroCloud), the open-source gateway software, associated APIs, dashboards, and documentation.
3. Accounts and Access
- You must provide accurate and complete information when creating an account.
- You are responsible for maintaining the confidentiality of your API keys and account credentials.
- You must promptly notify us of any unauthorised use of your account at security@ferrolabs.ai.
- You may not share your account or API keys with third parties in a manner that circumvents our billing or access controls.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation.
- Transmit content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or infringing on intellectual property rights.
- Attempt to gain unauthorised access to any part of the Service or its underlying infrastructure.
- Interfere with or disrupt the integrity or performance of the Service or third-party data contained therein.
- Use the Service to develop competing products or services without our prior written consent.
- Reverse engineer, decompile, or disassemble the Service except where permitted by applicable law.
5. Payment and Billing
- Paid plans are billed monthly or annually as selected at sign-up.
- All fees are non-refundable except as expressly stated in these Terms or required by applicable law.
- We reserve the right to modify pricing with 30 days' notice. Continued use of the Service after the effective date constitutes acceptance of the new pricing.
- If payment fails, we may suspend your account after providing notice.
6. Intellectual Property
The Service and its original content, features, and functionality are owned by Ferro Labs and protected by intellectual property laws. The open-source gateway component is licensed under the Apache 2.0 License as stated in the respective repository.
By submitting feedback, ideas, or suggestions, you grant Ferro Labs a royalty-free, irrevocable licence to use that feedback without any obligation to you.
7. Confidentiality
Each party agrees to keep the other party's confidential information confidential and to use it only for the purposes of these Terms. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
Ferro Labs will not access, view, or use your API request payloads except as required to provide the Service, respond to support requests, or comply with legal obligations.
8. Service Level and Availability
Ferro Labs targets 99.9% uptime for the hosted Service (FerroCloud). Planned maintenance windows will be communicated at least 48 hours in advance via the status page at status.ferrolabs.ai. We are not liable for unavailability caused by factors outside our reasonable control.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. FERRO LABS DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FERRO LABS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. IN NO EVENT SHALL FERRO LABS' TOTAL LIABILITY EXCEED THE GREATER OF $100 OR THE AMOUNT PAID BY YOU TO FERRO LABS IN THE TWELVE MONTHS PRIOR TO THE CLAIM.
11. Termination
Either party may terminate these Terms at any time. We may suspend or terminate your access immediately if you violate these Terms. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will survive, including sections on intellectual property, disclaimer of warranties, limitation of liability, and governing law.
12. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.
13. Changes to These Terms
We reserve the right to modify these Terms at any time. We will provide at least 14 days' notice of material changes via email or a prominent notice on the Service. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
